Business Terms & Conditions

 
The following Terms & Conditions are for proofreading and editorial work carried out by Sarah Carrette (Carrette Editing). They are based on the standard Terms & Conditions provided to me as a member of CIEP (The Chartered Institute of Editing and Proofreading).

These Terms & Conditions are provided to clients at the stage of agreeing the Scope of Work for the project. By replying to my email saying you agree to the Scope of Work, you are also agreeing to the Terms & Conditions.

  1. These terms & conditions apply to any work done for the Client (you) by the Freelancer (me, Sarah Carrette).

  2. The Client is under no obligation to offer me work; neither am I under any obligation to accept work offered by the Client.

  3. I confirm that I am self-employed, am responsible for my own income tax and National Insurance contributions.

  4. I will provide a quote for the work, based on a discussion about the work with the client and, if necessary, after viewing a sample of the work.

  5. I will provide service(s) as mutually agreed and as laid out in a Scope of Work for a quoted fee also appearing in the Scope of Work. The Client will confirm their agreement to the Scope of Work & these Terms & Conditions by email.

  6. The Client will pay me a fee per hour or per 1,000 words or an agreed flat fee for the project and will pay in Pounds Sterling (GBP).

  7. I reserve the right to ask for a deposit of 25% of the total project fee before starting work for an individual or for a new client, in order to secure the booking in my schedule. The client will be invoiced for the remaining 75% of the fee once the completed work is returned to the client.

  8. The work will be carried out by me at such times and places as determined by me, using my own equipment.

  9. If, on receipt of the item to be worked on or at an early stage, it becomes apparent that significantly more work is required than had been anticipated in the preliminary discussion/brief, I may contact the Client and renegotiate the fee and/or the deadline.

  10. Similarly, if, during the term of my work, additional tasks are requested by the Client, I may renegotiate the fee and/or the deadline.

  11. If the Client is likely to miss the deadline for providing the files/content/access to the content, they must inform me straight away. This may affect the final deadline for the work and this may need to be renegotiated.

  12. The completed work will be delivered on or before the date agreed, for the agreed fee, and will be based on the description of the Scope of Work agreed with the Client.

  13. If I am unable to complete the work by the agreed deadline due to circumstances beyond my control (e.g. illness), I will contact the Client as soon as possible to renegotiate the deadline.

  14. If the project is very lengthy, I may invoice periodically for completed stages, but this would be agreed in advance.

  15. If the work is regular, I will invoice at the beginning of each month for the previous month’s work.

  16. If I agree to attend the Client’s or other premises for any necessary meetings at their request, the time spent and agreed reasonable expenses incurred to be reimbursed by the Client.

  17. Any content created by me as part of the copyediting/proofreading process will become the copyright of the Client, unless otherwise agreed.

  18. The detail of the nature and content of the work will be kept confidential and not made known to anyone other than the Client and its contractors without prior permission.

  19. If the Client is a student, they will check that engaging a proofreader for their work is not contrary to any rules of their course/institution and that the Scope of Work agreed with me also does not contravene these rules.

  20. Unless agreed otherwise at the outset, payment will be made within 30 days of receipt of my invoice, according to the Late Payment of Commercial Debts (Interest) Act 1998 (amended 2002 and 2013).

  21. If the Client makes any further changes to the documents after they have been proofread/edited and returned by me, I cannot be held responsible for any new errors introduced in this way by the Client.

  22. The information that the Client and I may keep on record is covered by the terms of the General Data Protection Regulation. No more personal information than is necessary will be held. Please refer to the Privacy Policy (https://www.carrette-editing.co.uk/privacy-policy/) which explains how I process client information.

  23. Either the Client or I can terminate the agreement for services if there is a serious breach of its terms.

  24. I may use the Client’s name in my promotional material/website. If the work is to be published and is not confidential, I may also use the name of the work and/or image of the cover if the work was a book.

  25. These Terms & Conditions are subject to the laws of England and Wales and both I and Client agree to submit to the jurisdiction of these courts.
